Section 8: Acceptance by Performance or Consideration
Acceptance by performing conditions, or receiving consideration.—Performance of the conditions of a proposal, or the acceptance of any consideration for a reciprocal promise which may be offered with a proposal, is an acceptance of the proposal.”
Explanation Section 8 Indian Contract Act 1872
Section 8 of the Indian Contract Act, 1872, explains how a proposal (offer) can be accepted without words, through actions or by taking offered benefits. In simple terms, if someone performs the tasks outlined in an offer (like fulfilling its conditions) or accepts something given as part of the deal (like money or goods), they’ve accepted the offer.
For example, if a reward is offered for finding a lost item and someone returns it, their action accepts the offer, forming a contract. This section recognizes that acceptance doesn’t always need to be spoken or written—it can be shown by doing what the offer asks or taking its benefits.
Key Points on Section 8 Indian Contract Act 1872
- Acceptance can occur by performing the conditions specified in the proposal.
- Accepting consideration (e.g., money, goods) offered with a reciprocal promise counts as acceptance.
- No verbal or written communication of acceptance is required if performance or receipt occurs.
- Applies to unilateral contracts where the offeror promises something in return for an act.
- Supports contract formation under Section 2(b) (promise) and Section 10 (agreement).
Examples of Unilateral Contract Rules 1872
- A offers ₹5,000 to anyone who finds his lost dog; B returns the dog in 2025—Section 8 deems B’s action as acceptance, forming a contract.
- A offers to pay ₹1,000 if B paints his house; B paints it in 2024—Section 8 counts B’s performance as acceptance.
- A sends goods with a promise to sell if B pays ₹10,000; B keeps the goods and pays in 2023—Section 8 treats this as acceptance.
- A advertises a reward for information in 2025; B provides the info—Section 8 makes B’s act an acceptance.
- A offers a job with a signing bonus; B takes the bonus in 2024—Section 8 considers this acceptance of the offer.
